General Terms and Conditions (GTC)

1. Applicability and Scope

The following General Terms and Conditions (hereinafter referred to as “GTC”) apply to all business relationships between the Foundation for Integrated Living and Working, hereinafter referred to as “SILEA”, and the purchasers of SILEA products, hereinafter referred to as “customers”.
They apply as soon as customers purchase or use SILEA products or services, in particular for contracts concluded via the online shop at https://kraabe.ch or by other means (e.g. in SILEA boutiques, by e-mail, telephone or in writing). The GTC can be accessed at https://kraabe.ch.

Individual agreements concluded with customers take precedence over these GTC. Any conflicting terms and conditions of the customer will not be recognised.
SILEA reserves the right to amend these GTC at any time. All changes become effective upon publication of the new GTC on the website. The relevant date for determining the applicable version is the date on which the binding order is placed.
Please read these GTC carefully before placing a binding order. By submitting an order, you agree to these terms and the Privacy Policy and confirm that you are authorised to enter into legally binding contracts and are at least 18 years old.


2. Conclusion of a Purchase Contract

The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order.
SILEA expressly reserves the right to change the products and their content (e.g. images, assortment, prices, and descriptions) at any time without prior notice. Illustrations, brochures, advertisements and other product information are for information purposes only and are not binding.

Customers may place binding orders for selected products through the SILEA online shop by adding them to the “shopping cart”. The order becomes binding only when the customer clicks the “Order with obligation to pay” button at the end of the ordering process.
Before submitting the order, customers can review, modify and correct their entries.

An automatic order confirmation is sent immediately by e-mail, containing the order details. This confirmation only acknowledges receipt and does not constitute acceptance of the order.

By submitting the order, the customer confirms that they have read and accepted the GTC without reservation. SILEA recommends printing or saving the GTC for future reference.

After receipt of a binding order, SILEA may, at its discretion, accept or reject the order by e-mail notification without assuming liability. Any payments already made will be refunded in case of rejection.

Possible reasons for rejection include unavailability of the product, lack of payment authorisation, or suspicion of fraudulent or unlawful activity.
Upon acceptance of the order, a binding purchase contract is concluded when the products are dispatched.


3. Availability and Reservation of Performance

All information on availability, shipping and delivery is preliminary and approximate.
SILEA assumes no liability for unavailable products or shipping delays.

Products are available while stocks last. If a product ordered is no longer available, customers will be informed immediately. In such cases, no contract will be concluded for unavailable items.
SILEA also reserves the right to limit purchase quantities and will notify customers accordingly.


4. Prices and Shipping Costs

Prices correspond to those stated on the website. All prices are in Swiss francs (CHF) and include VAT.
The total order price, including all additional and shipping costs, is displayed at checkout.

For deliveries outside Switzerland, additional customs duties or import taxes may apply, payable by the customer.

By placing a binding order, customers agree to the total price shown. After the order is submitted, prices can no longer be adjusted.
SILEA reserves the right to change prices at any time. Products are invoiced at the prices valid at the time of order placement.


5. Terms of Payment / Credit Check

Payment is generally due immediately upon ordering.
Available payment methods are displayed during checkout and may vary by country.

SILEA reserves the right to exclude certain payment methods and to refer to alternative ones. Customers expressly authorise SILEA to conduct credit checks at its discretion and to share customer data with third parties for this purpose.

By choosing a payment method, customers authorise SILEA to collect payments accordingly.
In case of chargebacks, SILEA is entitled to reimbursement of related costs and bank fees.

For credit card or digital payment methods, SILEA may verify card validity, authorisation and address data.
If payment is declined, SILEA may cancel the order and will contact the customer.

For payment by invoice, payment must be made within the stated deadline using the provided payment slip.
In case of late payment, SILEA may charge at least CHF 50 per reminder, statutory default interest, and collection costs.
If legal collection proceedings become necessary, an additional administrative fee of at least CHF 200 will be charged.


6. Delivery Conditions

Deliveries are usually made via Swiss Post or couriers such as DHL or TNT.
Shipping costs are charged to the customer and must be paid in advance for EU deliveries.

Products in stock are generally delivered within 6–8 working days after receipt of full payment.
For out-of-stock items, SILEA will strive to deliver as soon as possible but assumes no responsibility for delivery delays.

If delivery becomes impossible due to customer fault, SILEA may withdraw from the contract and refund the payment minus incurred costs.


7. Retention of Title

SILEA retains ownership of all products until full payment is received.
Risk and benefit pass to the customer upon dispatch to the carrier.
SILEA accepts no liability for transport damage.


8. Right of Withdrawal and Return Policy

8.1 Conditions

For online purchases (except for certain excluded products, see below), customers have the right to withdraw from the contract within 14 days of receiving the goods, without giving reasons.

To exercise the right of withdrawal, customers must send a clear written statement (e.g. by post or e-mail) or return the goods within 14 days to:

Returned items must be unused, complete, undamaged and in their original packaging.

8.2 Effects of Withdrawal

Upon valid withdrawal and return, SILEA will refund the purchase price (excluding any additional delivery costs for express shipping) within 14 days after receiving the withdrawal notice or returned goods, whichever is earlier.
Refunds are made using the same payment method as the original transaction unless otherwise agreed.
SILEA may withhold the refund until receipt of the goods or proof of return.
Damaged or incomplete returns are not eligible for refund.

8.3 Exclusions

The right of withdrawal does not apply to personalised or custom-made products, or to goods not suitable for return for health or hygiene reasons once opened.


9. Warranty / Defects

SILEA guarantees that products conform to agreed quality standards and are free from material or manufacturing defects.
Customers must inspect goods immediately upon receipt and report any defects within 3 working days.
Hidden defects must be reported as soon as discovered.
Failure to do so constitutes acceptance of the goods.

The warranty period is two years from receipt.
Excluded are consumables and damage caused by improper use or neglect.

Warranty claims are limited to replacement or repair, at SILEA’s discretion.
If these remedies fail, customers may withdraw from the contract for significant defects.

Returns for warranty claims should be sent with a copy of the invoice and defect description to the address above, at the customer’s cost and risk.


10. Complaints

SILEA places great importance on customer satisfaction.
Customers can contact SILEA at any time using the contact details above.
Please include detailed information and order or customer numbers to enable efficient processing.


11. Liability

SILEA is liable only for damages caused intentionally or by gross negligence.
Liability for slight or moderate negligence and for indirect or consequential damages (e.g. loss of profit, data loss, reputational damage) is excluded.
The total liability is limited to the purchase price of the goods concerned.

11.1 Force Majeure

SILEA is not liable for failure or delay in performance due to events beyond its control, such as strikes, wars, pandemics, natural disasters, or failures of communication or transport networks.
In such cases, SILEA will notify the customer as soon as reasonably possible.


12. Data Protection

SILEA collects and processes personal data only in accordance with applicable data protection laws.
For details, please refer to our Privacy Policy, which forms an integral part of these GTC.


13. Copyright

All information and content on SILEA’s website are protected by copyright and remain the property of SILEA or the respective rights holder.
Any reproduction, modification, distribution or other use requires prior written consent.


14. Severability Clause

Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall not be affected.
An invalid provision shall be replaced by a valid one that most closely reflects the original intent and economic purpose.
The same applies to any contractual gaps.


15. Applicable Law and Jurisdiction

These GTC and all related contractual relationships are governed exclusively by substantive Swiss law, excluding conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes is the registered office of Stiftung SILEA in Gwatt/Thun, Switzerland.
